1. Acceptance of Terms

By accessing or using Proteus Convert ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and the operator of Proteus Convert ("we", "us", or "our").

If you are using the Service on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of the Service

Proteus Convert is a browser-based file conversion tool that processes files entirely on your device. No file content is ever uploaded to our servers. Conversions run locally using WebAssembly and JavaScript in your browser.

The Service also provides optional user accounts, a credit-based system for advanced conversions, and OAuth sign-in via GitHub and Google.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice where practicable.

4. User Accounts

To purchase credits or access account features, you must register an account. You agree to provide accurate, complete, and current information during registration and to keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@proteusconvert.com if you suspect unauthorized access.

You must be at least 16 years old to create an account. By registering, you confirm that you meet this age requirement.

5. Credits and Payments

5.1 Credit System

Certain conversions consume credits deducted from your account balance. Free credits may be granted upon sign-up. Additional credits can be purchased in the packs listed on the Pricing page.

5.2 Prices and Taxes

All prices are displayed in US dollars (USD) and are exclusive of any applicable taxes unless stated otherwise. EU consumers may be subject to VAT in accordance with EU Directive 2006/112/EC. The applicable VAT rate will be shown at checkout where required by law.

5.3 Right of Withdrawal (EU / EEA Consumers)

Under the EU Consumer Rights Directive (2011/83/EU), you ordinarily have a 14-day right of withdrawal from the date of purchase of any digital content or service.

However, by completing a credit purchase and confirming that you wish to use the credits immediately, you expressly consent to the immediate provision of the digital service and acknowledge that you thereby waive your right of withdrawal for credits that have already been consumed. Unused credits may be refunded upon written request within 14 days of purchase at our discretion, minus any administrative fee not exceeding the cost of the unused credits.

5.4 Refunds

To request a refund for unused credits, contact legal@proteusconvert.com within 14 days of purchase. We will process eligible refunds within 14 days of approving the request using the original payment method where possible.

5.5 Credit Expiry

Credits purchased as one-time packs do not expire. Subscription-based monthly credits reset at the start of each billing period and unused credits do not roll over unless otherwise stated on the Pricing page.

6. Acceptable Use

You agree not to use the Service to:

• Process files that infringe any third-party intellectual property rights;
• Violate any applicable local, national, or international law or regulation;
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service;
• Use automated scripts, bots, or other tools to access the Service in a manner that imposes an unreasonable load on our infrastructure;
• Circumvent, disable, or otherwise interfere with security-related features of the Service.

We reserve the right to suspend or terminate your account if you violate these Acceptable Use rules.

7. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding files you convert), is owned by or licensed to us and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without our prior written consent.

You retain full ownership of any files you process using the Service. Because all conversion occurs locally in your browser, we do not access, copy, store, or claim any rights over your files or their contents.

8. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the data practices described in the Privacy Policy.

As a data controller, we comply with the EU General Data Protection Regulation (GDPR — Regulation (EU) 2016/679). You have the right to access, rectify, erase, restrict processing of, or port your personal data at any time by contacting us at legal@proteusconvert.com.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Conversion quality depends on the structure and content of your input files. We do not guarantee that conversion output will be error-free or suitable for every use case, particularly for complex layouts, scanned documents, or proprietary file formats.

10. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable EU law.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, where the changes are material, notify you by email or by a prominent notice on the Service at least 30 days before the changes take effect.

Continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and may request account deletion by contacting us.

12. Termination

You may close your account at any time by contacting us at legal@proteusconvert.com. Upon closure, we will delete your personal data in accordance with our Privacy Policy, except where retention is required by law (e.g., accounting or tax obligations).

We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of [GOVERNING_LAW_JURISDICTION], without regard to its conflict of law provisions.

If you are an EU consumer, you also benefit from any mandatory protective provisions of the law of the EU member state in which you reside. Nothing in these Terms affects your rights as a consumer under applicable EU law.
